PanEuro's alternative assets practice operates in a non-licensed capacity and focuses on research, education, process support, and relationship facilitation, rather than regulated investment advice, dealing, or portfolio management.
PanEuro's compensation is a monthly retainer and agreed fixed fees only. There are no success fees, no transaction fees, and no commissions of any description. This fee model is a deliberate, structural feature of the firm: it is the model that distinguishes strategic corporate advisory from regulated brokerage and dealing activity.
In every jurisdiction, the regulated activities of soliciting investors, trading securities, acting as a placement agent, or managing investment funds must be — and are — performed by appropriately licensed local professionals. PanEuro's role is to identify, recommend, and coordinate those regulated advisers; to produce the strategic, financial, and communications architecture within which their licensed activities operate; and to introduce capital from its own institutional network only in circumstances where such introduction does not constitute a regulated activity in the relevant jurisdiction.

PanEuro is not authorised or regulated by the Financial Conduct Authority. Its activities are structured to fall outside the regulated activities specified under the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001. Where any communication constitutes a financial promotion, it is directed only at persons within Articles 19(5) or 49(2) of the FSMA 2000 (Financial Promotion) Order 2005, or persons to whom it may otherwise lawfully be communicated.
PanEuro does not provide investment services or perform investment activities within the meaning of MiFID II, and does not market alternative investment funds within the meaning of the AIFMD, in or into the EEA. Paul Brook founded Brook Capital Partners in 2011. He subsequently established Deep Green Capital as a project-specific special purpose vehicle within the PanEuro Group. This historical and ongoing connection is transparent and fully disclosed to all relevant parties and is an example of PanEuro's fully disclosed SPV policy.
